Covered bonds

HSBC Continental Europe (‘HBCE’) has completed on 1 January 2024 the sale of its retail banking business in France (the ‘Transaction’) to CCF, a subsidiary of Promontoria MMB SAS (‘My Money Group’).

As the Transaction also included the sale by HBCE of its 100% ownership interest in HSBC SFH (France) (‘HSFH’), HSFH is now wholly owned by CCF and has changed its legal name to CCF SFH effective from 1 January 2024. 

The entity issues covered bonds.

HSBC SFH (France) has launched a Consent Solicitation to the holders of the €1,250,000,000 2.00 per cent. Covered bonds due 16 October 2023 (ISIN: FR0011470764) (the “2023 Covered Bonds”) and €1,000,000,000 0.500 per cent. Covered bonds due 17 April 2025 extendible as Floating Rate Covered Bonds up to 17 April 2026 (ISIN: FR0013329638) (the “2025 Covered Bonds”) (the “Bondholders”).

HSBC SFH (France) launched and obtained the consent of the Bondholders to approve the Resolutions as fully described in the Consent Solicitation Memorandum.
